Terms of Service

Please read these terms carefully before using OpenMat. By accessing or using our platform, you agree to be bound by these terms.

Plain English Summary OpenMat is a martial arts training app. Use it to track your training, connect with other athletes, and grow your skills. Be respectful, be honest, and don't do anything that would get you disqualified from a tournament. We'll do our best to keep the platform running and improving. If something goes wrong, let's talk about it first.

1 Acceptance of Terms

By creating an account, accessing, or using OpenMat (the "Platform"), operated by Proscris LLC ("OpenMat," "we," "our," or "us"), you agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.

These Terms apply to all users including free members, PRO subscribers, coaches, academy owners, and visitors.

2 Eligibility

You must meet the following requirements to use OpenMat:

  • Be at least 13 years of age. Users between 13–17 must have parental or guardian consent.
  • Be at least 18 years of age to purchase a subscription or paid plan.
  • Not be prohibited from using the Platform under applicable law.
  • Not have had a previous account terminated by OpenMat for violations of these Terms.
⚠️ Minors If you are under 18, please have a parent or guardian review these Terms. We do not knowingly collect personal information from children under 13. If we discover that a child under 13 has created an account, we will delete it immediately.

3 Your Account

When you create an account on OpenMat, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate.
  • Keep your password secure and not share it with anyone.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately at legal@openmat.ai if you suspect unauthorized access.

Your @handle is unique and permanent. We reserve the right to reclaim handles that violate these Terms or that impersonate others. Handles may not be transferred or sold.

ℹ️ One account per person Each person may maintain only one free account. Creating multiple accounts to circumvent restrictions, bans, or earn duplicate rewards is prohibited.

4 Subscriptions & Payments

OpenMat offers the following paid plans in addition to a free tier:

All subscriptions are billed monthly. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months.

Refunds: We offer a full refund within 7 days of your initial subscription purchase if you are not satisfied. After 7 days, all sales are final. Refund requests must be submitted to billing@openmat.ai.

Mat Points: Mat Points purchased within the app are non-refundable and have no cash value. They are a virtual currency redeemable only within the OpenMat platform for in-app rewards.

Price Changes: We may change subscription pricing with at least 30 days' notice sent to your registered email. Your continued use after the price change constitutes acceptance.

5 Acceptable Use

You agree to use OpenMat only for lawful purposes and in a way that respects other users and the martial arts community. You agree not to:

  • Post content that is abusive, harassing, threatening, defamatory, obscene, or discriminatory.
  • Impersonate any person, instructor, academy, or organization.
  • Falsely claim belts, ranks, credentials, or competition results.
  • Use the Platform to solicit students away from their academies or coaches.
  • Scrape, crawl, or use automated tools to extract data from the Platform.
  • Reverse-engineer, decompile, or attempt to extract the source code.
  • Upload malware, viruses, or any code designed to disrupt the Platform.
  • Use another user's account without their express permission.
  • Buy, sell, or trade accounts, handles, achievements, or Mat Points.
  • Use the Beacon feature to harass, stalk, or intimidate other users.
  • Post spam, unsolicited promotional content, or pyramid scheme links.
🚨 Zero Tolerance We have zero tolerance for sexual harassment, threats of violence, racism, or content that sexualizes minors. Violations will result in immediate permanent account termination and may be reported to law enforcement.

6 User Content

OpenMat allows you to post, upload, and share content including training photos, session logs, community posts, and technique notes ("User Content").

By posting User Content, you grant OpenMat a non-exclusive, royalty-free, worldwide, sublicensable license to use, display, reproduce, and distribute your content solely for the purpose of operating and improving the Platform.

You represent and warrant that:

  • You own or have the necessary rights to post the content.
  • Your content does not infringe on any third party's intellectual property, privacy, or other rights.
  • Your content complies with these Terms and applicable law.

We reserve the right to remove any User Content that violates these Terms, without notice and at our sole discretion. You may delete your own content at any time.

7 Intellectual Property

The OpenMat platform, including its software, design, logo, trade name, programs, AI coaching system, XP mechanics, and all original content created by OpenMat, is owned by Proscris LLC and protected by intellectual property law.

You may not copy, modify, distribute, sell, or create derivative works based on our proprietary content without our express written permission.

The OpenMat logo, name, and branding elements are trademarks of Proscris LLC and may not be used without written permission.

8 Third-Party Services

OpenMat integrates with third-party services to provide certain features. By using these features, you also agree to the third party's terms:

  • Google Sign-In: Google's Terms of Service and Privacy Policy
  • Stripe: Stripe's Terms of Service (payment processing)
  • Facebook Login: Meta's Terms of Service

We are not responsible for the practices, content, or reliability of third-party services. Links to third-party sites do not imply endorsement.

9 Academy & Coach Features

Users with Coach or Academy Owner subscriptions are granted access to additional tools for managing students, scheduling classes, processing attendance, and communicating with their school community. By using these features, you additionally agree to:

  • Only add students who have given you explicit consent to manage their data within OpenMat.
  • Handle student data responsibly and in compliance with applicable privacy laws.
  • Not use student data for any purpose outside of legitimate academy management.
  • Ensure any billing or payment data you enter is accurate and that you are authorized to process it.
  • Accurately represent your credentials, qualifications, and academy status.

OpenMat is a management and communication tool β€” we are not a licensed financial institution and do not process payments between academies and students directly. Any such transactions are your responsibility.

10 Health & Safety Disclaimer

⚠️ Important β€” Read This Carefully Martial arts training involves inherent physical risks including injury. OpenMat provides training tracking, technique guidance, and community tools β€” we are not a licensed medical provider, physical therapist, or certified personal trainer.

By using OpenMat's training features, you acknowledge that:

  • You should consult a qualified physician before beginning any new physical training program.
  • Any training recommendations, drill suggestions, or AI coaching provided through OpenMat are for general informational purposes only.
  • You train at your own risk. OpenMat is not liable for any injury, illness, or adverse health outcome resulting from training activities.
  • The Beacon feature connects you with other users for training purposes. We do not vet, verify, or vouch for any user's identity, credentials, or physical fitness.
  • Partner ratings and assessments are user-generated and do not constitute professional evaluations.

11 Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses. We may modify, suspend, or discontinue any part of the Platform at any time without notice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENMAT AND PROSCRIS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR PERSONAL INJURY, ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

12 Indemnification

You agree to defend, indemnify, and hold harmless OpenMat, Proscris LLC, and our officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Platform.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of any rights of another person or entity.

13 Termination

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our sole discretion.

You may delete your account at any time from the Settings page or by emailing legal@openmat.ai. Upon account deletion, your public profile and community posts may remain visible for up to 30 days while our systems process the deletion.

Upon termination, your right to use the Platform immediately ceases. Any accrued Mat Points, XP, achievements, or streak data will be permanently deleted and are non-recoverable.

14 Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

Informal Resolution: Before filing any formal claim, you agree to first contact us at legal@openmat.ai and attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

Arbitration: If informal resolution fails, disputes shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), conducted in English in Miami, Florida. You waive the right to a jury trial or to participate in a class action lawsuit.

Exception: Either party may seek injunctive relief in a court of competent jurisdiction for intellectual property infringement or unauthorized access to the Platform.

15 Changes to Terms

We may update these Terms at any time. When we make material changes, we will notify you by:

  • Posting a notice within the OpenMat app.
  • Sending an email to your registered address.
  • Updating the "Last Updated" date at the top of this page.

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the revised Terms, please discontinue use and delete your account.

Our Commitment We collect only what we need to run a great martial arts training platform. We don't sell your personal data. We don't show you third-party ads. Your training data is yours β€” you can export or delete it at any time.

1 Who We Are

OpenMat is operated by Proscris LLC, a company registered in the State of Florida, United States. We are the data controller for personal information collected through the OpenMat platform at openmat.ai and our mobile applications.

2 Information We Collect

We collect information in three ways: information you provide directly, information collected automatically, and information from third parties.

2.1 Information You Provide

  • Account Registration: First name, email address, @handle, password (hashed), and optionally your full name, date of birth, and location.
  • Profile Information: Bio, profile photo, martial arts disciplines, belt/rank, training academies, and lineage.
  • Training Data: Session logs, duration, intensity, techniques practiced, drill completions, XP earned, streaks, and notes.
  • Community Content: Posts, comments, photos, reactions, and messages you send to other users.
  • Payment Information: Billing details are processed and stored by Stripe. We store only the last 4 digits of your card, billing country, and subscription status. We never see your full card number.
  • Assessments & Ratings: Belt assessments submitted by coaches, and partner training ratings.
  • Gear & Weight Data: Equipment records, weight logs, and training goals you voluntarily enter.
  • Support Communications: Any messages you send to our support team.

2.2 Information Collected Automatically

  • Device Information: Device type, operating system, browser type and version, screen resolution.
  • Usage Analytics: Pages visited, features used, session duration, clicks, scrolls, and navigation patterns.
  • IP Address: Used to approximate country/city-level location for analytics and fraud prevention. Not stored long-term.
  • Session Data: Session start/end times, engagement scores, idle detection, and error logs.
  • Performance Data: Page load times, API response times, and crash reports.

2.3 Information from Third Parties

  • Google Sign-In: If you sign in with Google, we receive your name, email, profile picture, and locale from Google. With your explicit consent, we may also receive your general location and birth year to personalize your profile. See Section 8 for details.
  • Facebook Login: If you sign in with Facebook, we receive your name, email, and profile picture.

4 How We Share Your Information

We do not sell your personal information. We share your data only in these limited circumstances:

  • Other Users (by your choice): Your profile, posts, training stats, and community content are visible to other OpenMat users based on your privacy settings.
  • Your Coach or Academy: If you join an academy on OpenMat, your coach or academy owner can see your attendance, session frequency, and progress data you've made visible to them.
  • Service Providers: We share data with trusted third parties who help us operate the platform, including:
    • Stripe (payment processing)
    • n8n Cloud (workflow automation for webhooks)
    • Hosting / CDN providers (infrastructure)
    • Email delivery providers (transactional emails)
    All service providers are bound by data processing agreements and may only use your data to provide services to us.
  • Legal Requirements: We may disclose your information if required by law, court order, or governmental authority, or if we believe disclosure is necessary to protect the rights, property, or safety of OpenMat, our users, or the public.
  • Business Transfers: In the event of a merger, acquisition, or sale of assets, your information may be transferred. We will notify you via email and/or prominent in-app notice before your data is transferred and becomes subject to a different privacy policy.
  • With Your Consent: We may share your information for any other purpose with your explicit consent.

5 Data Storage & Security

Your data is stored on servers located in the United States. We implement industry-standard security measures including:

  • HTTPS/TLS encryption for all data in transit.
  • Passwords are hashed using bcrypt β€” we never store plain-text passwords.
  • Access controls limiting employee access to personal data on a need-to-know basis.
  • Regular security reviews and vulnerability assessments.
  • Session data stored locally in your browser using localStorage with a namespaced prefix.
⚠️ No system is 100% secure While we take reasonable precautions, no method of electronic transmission or storage is completely secure. If you suspect a security breach affecting your account, contact us immediately at security@openmat.ai.

6 Cookies & Tracking

OpenMat uses the following types of storage and tracking:

We do not use third-party advertising cookies. We do not use cross-site tracking technologies.

7 Your Rights & Controls

Depending on your location, you may have the following rights regarding your personal data:

Rights available to all users:

  • Access: Request a copy of your personal data via Settings β†’ Export Data, or by emailing privacy@openmat.ai.
  • Correction: Update your profile, contact info, and preferences directly in the app.
  • Deletion: Delete your account and all associated data via Settings β†’ Delete Account. Processing takes up to 30 days.
  • Data Portability: Export your training data, session logs, and profile as a JSON file.
  • Notification Opt-Out: Manage all notification preferences in Settings β†’ Notifications.

Additional rights for EU/EEA residents (GDPR):

  • Right to restrict processing.
  • Right to object to processing based on legitimate interest.
  • Right to lodge a complaint with your local data protection authority.

Additional rights for California residents (CCPA):

  • Right to know what personal information we have collected.
  • Right to opt out of the "sale" of personal information (we do not sell data).
  • Right to non-discrimination for exercising your privacy rights.

8 Google Sign-In & Third-Party Data

When you sign in with Google, OpenMat requests access to specific data through Google's OAuth system. Here is exactly what we request and why:

You are shown a Google consent screen before any data is shared. The birthday and address scopes are optional β€” you can decline them and still use OpenMat fully. Your Google data is not shared with third parties and is not used for advertising.

We use your Google profile picture as your OpenMat avatar. You can change or remove it at any time from your profile settings.

OpenMat's use and transfer of information received from Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements.

9 Location & Beacon Data

The OpenMat Beacon feature allows you to signal to nearby users that you're looking for a training partner. This feature is entirely opt-in.

  • We use your approximate IP-based location (city level) to show you relevant nearby users. We do not track your precise GPS coordinates unless you explicitly grant browser location permissions in the future.
  • When your beacon is active, your general training activity (e.g., "looking to roll, No-Gi, medium intensity") is visible to other users within your selected radius.
  • Your exact address or GPS coordinates are never shared with other users.
  • You can turn off your beacon at any time from the app. When the beacon is off, your activity is not visible.
  • Beacon data is not stored after your session ends.

10 Children's Privacy

OpenMat is not directed to children under the age of 13. We do not knowingly collect personal information from children under 13.

Users between 13–17 may use OpenMat with parental consent. We recommend parents review what their children post in the community and configure appropriate notification settings.

If you believe a child under 13 has created an account, please contact us immediately at privacy@openmat.ai and we will delete the account and associated data promptly.

11 International Users

OpenMat is operated from the United States. If you access the Platform from outside the United States, your data will be transferred to and processed in the United States.

For users in the European Union or EEA: We rely on Standard Contractual Clauses (SCCs) as the legal mechanism for international data transfers where required under GDPR.

For users in the United Kingdom: We comply with the UK GDPR and Data Protection Act 2018.

For users in Brazil: We comply with the Lei Geral de ProteΓ§Γ£o de Dados (LGPD) to the extent applicable.

By using OpenMat, you consent to the transfer and processing of your data in the United States in accordance with this Privacy Policy.

12 Data Retention

We retain your personal data for as long as your account is active or as needed to provide services. Specifically:

After the retention period, data is permanently and irreversibly deleted from our systems.

13 Changes to This Policy

We may update this Privacy Policy from time to time. When we make material changes, we will:

  • Post the updated policy with a new "Last Updated" date.
  • Display an in-app notification describing what changed.
  • For significant changes affecting how we use your data, send an email to your registered address at least 14 days before the changes take effect.

If you disagree with the changes, you may delete your account before the effective date. Continued use after the effective date constitutes acceptance of the updated policy.
